By purchasing a subscription license ("Subscription") for any software products (the "Software") and/or for any applicable products, services, media, and other technical information related to the Software (the "Related Materials," and together with the Software, the "Services") made available by Shift Technologies Inc. ("Shift," "we," "our," or "us"), you ("Subscriber" or "you") agree to pay the applicable fees ("Fees") and to be bound by these Subscription Terms (the "Agreement").
This Agreement incorporates by reference Shift's Terms and Conditions, Website Terms of Use, and Privacy Policy. Please review those documents carefully before purchasing a Subscription.
Fees and Pricing. You agree to pay the Fees specified in your online purchase, or applicable ordering document (“Ordering Document”). For the most current information about pricing and payment options, please review our pricing and payment terms at https://shift.com/pricing/, the pricing and payment information on which is incorporated by reference into this Agreement. You may also contact Shift directly. Shift may add new Software, Related Materials, features, and functionalities for additional Fees, and add or amend Fees for existing Software and/or Related Materials from time to time, subject to the notice requirements in this section. If we change the Fees for your Subscription, we will provide you with clear and conspicuous notice of the change no less than seven (7) days, or otherwise in accordance with applicable law. The notice will be sent by email to the address associated with your account (or by another method capable of being retained by you) and will include: (a) the amount of the new Fees, (b) the date the new Fees take effect, and (c) instructions for how to cancel your Subscription before the new Fees take effect, including a link to the cancellation process described in Section 2. If you do not cancel your Subscription before the new Fees take effect, your continued use of the Software and Related Materials after the effective date constitutes your acceptance of the new Fees. Notwithstanding the foregoing, if your Subscription is for a fixed term at a stated price, the Fees will remain unchanged for the remainder of that term.
1. Automatic Renewal; Billing
Unless otherwise provided in an Ordering Document, all Subscriptions for the Services are purchased on a subscription basis that renews automatically unless cancelled.
Automatic Renewal. Your Subscription will automatically renew at the end of your Subscription Term (as identified in your online purchase or applicable Ordering Document) for subsequent terms equal in length to the initial Subscription Term (each a “Subscription Term”). You may cancel your Subscription at any time using the methods described in Section 2.
Subscription Types and Renewal
Monthly Subscriptions. Monthly Subscriptions renew automatically each month on your billing date (see "Billing Dates" below). Your monthly Subscription will continue until you cancel in accordance with Section 2.
Annual Subscriptions. Annual Subscriptions will automatically renew at the end of each annual Subscription Term. You will be billed the then-current annual Fees at the beginning of each renewal term, in accordance with this Agreement and the applicable Ordering Document. Shift will send you a renewal reminder thirty (30) days before each renewal date (or as otherwise required by applicable law), as described in Section 2. New annual Subscription purchases are eligible for a fourteen (14) day money-back guarantee, as described in Section 3.
Free Trials (Monthly Subscriptions Only). Shift may offer a seven (7) day free trial for new monthly Subscriptions, beginning on the trial start date identified in the applicable online purchase flow or Ordering Document. Unless you cancel before the free trial ends, your trial will automatically convert into a paid monthly Subscription at the then-current monthly price. Shift, and its third-party payment services provider, is authorized to charge the payment method on file for the first monthly billing cycle and each monthly renewal thereafter. You may cancel a free trial at any time before it ends, at no cost, using any of the methods described in Section 2.
Billing
Billing Definitions. As used in this Agreement, “billed”, “billing”, or “charge” means either a charge or debit, as applicable, to your payment method on file with Shift or its third-party payment services provider.
Billing Authorization. When you purchase a Subscription to access and use the Services, you expressly acknowledge and agree that: (1) Shift (and its third-party payment services provider) is authorized to charge you at the beginning of each Subscription Term: (a) the Fees identified in your online purchase or in the applicable Ordering Document; (b) any applicable taxes; and (c) any other charges that Shift has disclosed to you in connection with your use of the Services, for as long as your Subscription continues; and (2) your Subscription is continuous until you cancel it or your access to and use of the Services is suspended, discontinued, or terminated in accordance with this Agreement.
Variable Billing Amounts. You acknowledge and agree that the amount billed may vary due to promotional offers, changes in your Subscription plan, changes in applicable taxes, and changes in Fees in accordance with this Agreement. You authorize us to charge your payment method on record for the changed amounts.
Billing Dates. We will automatically bill your payment method each month or each year (if applicable) on the calendar day corresponding to the commencement of your Subscription. If your Subscription commenced on a day that does not occur in a given billing month (for example, the 31st), you will be billed on the last day of that month.
Payment Failures. If your payment method on record reaches its expiration date, or is declined by the applicable third-party payment services provider, we reserve the right to retry your payment method until it is successfully charged, and/or to suspend your access to the Services in accordance with Section 4.
2. Cancellation
How to Cancel. You may cancel your Subscription at any time. For annual Subscriptions, Shift will send you Subscription renewal notifications thirty (30) days before the Subscription expiry date, or as otherwise required under applicable law. To cancel your Subscription before the start of the next Subscription Term, use one of the following methods:
- Within Your Account: Log in to your Shift account at https://shift.com/account/ and select "Account," then "Cancel Subscription"; or
- In the Shift Software: Navigate to Quick Settings > Advanced Settings > Accounts and Preferences > Manage Plan > Subscription, and click "Cancel Subscription;" or
- Email: Contact Shift at support@shift.com with your cancellation request.
If you encounter technical difficulties, contact our support team at support@shift.com for assistance.
When Cancellation Takes Effect. Your cancellation is effective upon submission through any of the methods described above. Shift will send a cancellation confirmation within five (5) business days of your submission. If you submit your cancellation request before the start of the next Subscription Term, including the next monthly billing cycle, you will not be charged for the next Subscription Term, regardless of when Shift sends the cancellation confirmation.
Effect of Cancellation on Monthly Subscriptions. If you cancel a monthly Subscription, your cancellation will take effect at the end of the then-current monthly billing cycle. You will retain access to the Services until that date. No refund will be issued for the remaining portion of the then-current monthly billing cycle.
Effect of Cancellation on Annual Subscriptions. If you cancel an annual Subscription prior to the expiration of your then-current annual Subscription Term, you will not receive a prorated refund for any portion of the Fees paid for the then-current annual Subscription Term. You may continue to use the Services until the end of your then-current annual Subscription Term.
Renewal Charges. If your Subscription is not cancelled in accordance with this Section 2 before commencement of the renewal Subscription Term and your payment method is charged, you will not receive a refund for that renewal Subscription Term.
Suspension or Termination by Shift. If Shift suspends or terminates your access to the Services, you agree that you shall receive no refund for (A) any Fees; and (B) any portion of Fees attributable to any unused time remaining on a Subscription.
Content and Data After Termination. Shift shall not be responsible or liable for any content or data associated with your Shift account, or for anything else, following any termination of your Subscription, or your use of the Software and/or Related Materials. Shift may delete content and data associated with your account at any time after termination. You are responsible for exporting any content or data you wish to retain prior to termination. 3. Refund Policy
14 Day Money-Back Guarantee for New Annual Subscriptions. Shift offers a fourteen (14) day full money-back guarantee for new annual Subscription purchases only. Annual Subscription renewals are not eligible for the fourteen (14) day money-back guarantee. The annual Subscription Term commences upon your initial purchase of the annual Subscription. To request a refund, you must contact Shift at support@shift.com on or before the fourteenth (14th) day following commencement of your annual Subscription Term.
Refund Processing of Annual Subscriptions. Processing of eligible annual Subscription refunds may take up to ten (10) business days to complete and appear on your account statement. Depending on when you purchase the annual Subscription and when you submit your refund request, the processed refund may appear in the account statement issued to you in the following calendar month. The refund amount will be the Fees you paid for the annual Subscription. Refunds will be issued to the original payment method used for the purchase. If that payment method is no longer available, Shift will work with you to identify an alternative refund method.
No Refunds: Monthly Subscriptions. Monthly Subscriptions are non-refundable and not eligible for the fourteen (14) day money-back guarantee. This includes monthly Subscriptions that convert from a free trial to a paid Subscription, as well as monthly Subscriptions purchased without a free trial.
4. Payment Information; Taxes
Payment Method. Shift, or its third-party payment processors, will charge the applicable Fees and any other charges you may incur to the payment method you provide when you register for and purchase your Subscription, or that you provide in an Ordering Document. All information that you provide in connection with a purchase must be accurate, complete, and current. You may change your payment method through your Shift account at https://shift.com/account/.
Your Payment Obligations. You agree to pay all charges that you authorize through your credit card, debit card, or other payment method used in connection with a purchase or other authorized transaction with Shift at the prices in effect when such charges are incurred.
Suspension for Non-Payment. If Shift is unsuccessful in charging your payment method and has still not received payment within seven (7) days after informing you by email, Shift may suspend or temporarily disable all or part of your access to the Services. Shift will promptly restore your access once the outstanding payment is received. If the payment issue is not resolved within thirty (30) days after suspension, Shift may terminate your Subscription.
Taxes. You will pay any and all applicable taxes, if any, relating to any such payment of Fees.
5. Changes to This Agreement.
Shift reserves the right to amend and update this Agreement at any time. We shall notify you of any material changes to this Agreement by providing you with notification of such changes which will appear in a prominent location in your Software account or within the Software, or by email to the address associated within your account. If you do not agree to the amended terms, you may cancel your Subscription in accordance with Section 2. Your continued use of the Software and/or Related Materials after the effective date of the amended terms constitutes your acceptance of the changes.
6. General.
Governing Law. This Agreement shall be governed exclusively by the laws of the Province of British Columbia and the laws of Canada applicable therein, except any principles regarding conflicts of law rules. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
Dispute Resolution. You hereby irrevocably attorn and submit to the exclusive jurisdiction of the courts of British Columbia, and any competent Courts of Appeal therefrom, with respect to all disputes arising out of or in connection with this Agreement or in respect of any legal relationship associated with or derived from this Agreement, and expressly and irrevocably waive any defense of personal and/or subject matter jurisdiction in those courts and any claims on the grounds of inconvenient forum.
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST SHIFT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Conflict of Terms. In the event of a conflict between this Agreement and any ordering document, the ordering document shall control with respect to the subject matter of that ordering document. In the event of a conflict between this Agreement and Shift's Terms and Conditions or Website Terms of Use, this Agreement shall control with respect to subscription-related matters.
Severability. If any provision of this Agreement shall be considered unlawful, void, or otherwise unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any other provisions.
